• All buyers and sellers must use the Bid And Drive App/website and ensure its updated regularly to the latest version to stay informed of all the services, offers and T&C’s
• All transactions will be conducted in AED (United Arab Emirates Dirhams). Our Company is not liable for any loss due to conversion rates and/or bank transfers between different currencies
• Bid And Drive shall not guarantee the registration of the classic cars ( Old Valuable Cars )
• The lot will be registered only for the account owner (The lot here is defined as a batch or a specific group of something )
• As per the Federal Tax Authority (FTA) Law No. 8/2017 published by the Government of the UAE, Value Added Tax (VAT) will be added to all sale amount and all charges including administration fees and fines
• Eligibility of VAT on final settled price is in accordance with the provider's obligations of the FTA's regulations
• Bid And Drive does not guarantee any of the declarations, specifications, information and/or particulars provided by the seller, including but not limited to (accuracy of the Odometer , ownership guarantees , information included in the enclosed examination report , vehicle or equipment state , year of manufacture , vehicle or equipment exportability). The bidder can also check with the seller to view/test the car during the time of bidding and is responsible for checking all data, advertisements and information related to the state of the item, before or during bidding
• The sale is subject to the approval of the seller, and the sale procedures may be cancelled and/or extended before and/or after the sale ends, and before the transfer of ownership is completed
• The user must be minimum 18 years of age to be eligible to register and legally seal a contractual agreement
• The Company reserves the discretion to withdraw any User Material from the Website without prior notice and to refuse any User Material posted or provided to the Company by a User
• The User’s Registration Details and data relating to its use of the Website will be recorded by the Company but this information shall not be disclosed to third parties nor used for any purpose unrelated to the Website. By agreeing to the terms, you expressly give us permission to verify the authenticity of your details by calling you on the phone number submitted to us. The call may be recorded for quality assurance
• The User hereby authorizes the Company to use any information which it submits to the Website to inform the User of special offers, occasional third party offers and for other marketing and related purposes. The Company will not use User data for any other purposes than as set out in these Terms except that the Company may disclose this data if compelled to do so by law, or at the request of a law enforcement agency or governmental authority
• User is willing to purchase through our website to register its data and choose a username and password of its own so that he can use the services of the site
• The Company reserves the right to suspend or terminate a User’s account where, in its absolute discretion, it deems the User has breached these terms or deems such suspension or termination is otherwise appropriate. In the event of such suspension or termination, the Company will notify the User by email and the User must not seek to re-register on any Website either directly or indirectly through a related entity. The Company’s rights shall not prejudice any other right or remedy the Company may have in respect of any breach, or any rights, obligations or liabilities accrued prior to such suspension or termination
• We reserve the rights to use all of the names, trademarks, service marks, logos and Collectibles images to the owners of the site alone
• "Bid And Drive" has the right to change fees for services provided by the site temporarily, for promotional reasons, or in case of new services
• “Unacceptable” – any material or information uploaded to or made available on the Website which under the law of any jurisdiction from which the Website may be accessed may be considered:
  1. illegal, illicit, indecent, obscene, racist, offensive, pornographic, paedophilic, insulting, false, unreliable, misleading, harmful or potentially harmful to minors, threatening, libellous, alleged to be or actually defamatory or in infringement of third party rights (of whatever nature and including, without limitation, any Intellectual Property Rights), invasive of another’s privacy or other rights, to relate to or encourage money laundering or illegal gambling;
  2. in breach of any applicable regulations, standards or codes of practice (notwithstanding that compliance may not be compulsory);
  3. in contravention of legislation, including without limitation, that relating to weapons, animals or alcohol
  4. Harmful to the Company’s reputation.
• The Company may employ a third-party provider for processing credit card payments for users that use the Product(s) or services provided. Such third-party providers may have access to personal information provided by users needed in order to perform their functions, but may not use it for any other purpose. The Company does not have access to or retain any users payment information
• Any unauthorized use of the Company computer systems is a violation of these Terms and certain applicable laws, in particular the UAE Cybercrimes legislation. Such violations may subject the sender and his or her agents to civil and criminal penalties. Please note that the UAE Cybercrimes legislation carries significant penalties including imprisonment. In case you intend to solicit or contact our Users by obtaining their email or phone numbers from our Website, we may report this behaviour to the relevant authorities, who then may decide to prosecute you under the relevant UAE laws
• The Company shall not be liable for any:
  1. consequential, indirect, special losses or exemplary damages (even if the Company has been advised of the possibility of such losses or damages);
  2. loss of profit;
  3. loss of business;
  4. loss of revenue;
  5. loss of or corruption to data;
  6. loss of use;
  7. loss of production;
  8. loss of contract;
  9. loss of opportunity;
  10. loss of savings, discount or rebate (whether actual or anticipated);
  11. harm to reputation or loss of goodwill;
  12. loss of anticipated savings
• Whilst the Company will take all reasonable attempts to exclude viruses from the Website, it cannot ensure such exclusion and no liability is accepted for viruses. The User is recommended to take all appropriate safeguards before accessing or downloading information or any Material from the Website
• The Website includes information and materials uploaded by other users of the Website. This information and these materials have not been verified or approved by the Company and the Company shall not be liable for any material which may be deemed unacceptable. You further may be exposed to material that is inaccurate, offensive, indecent, objectionable, defamatory or libellous and, as far as the law allows, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against the Company with respect thereto
• The Company does not guarantee that the Website will always be accessible, uninterrupted, timely, secure, error free or free from computer virus or other invasive or damaging code or that the Website will not be affected by force majeure events, including inability to obtain or shortage of necessary materials, equipment facilities, power or telecommunications, lack of telecommunications equipment or facilities and failure of information technology or telecommunications equipment or facilities. The Company may suspend or withdraw or restrict the availability of all or any part of the Website for business and operational reasons at any time and shall not be liable for any interruption to the Service, whether intentional or otherwise. We recommend that you back up any content and data used in connection with the Website, to protect yourself in case of problems with the Website or the Service.
• The Website is controlled and offered by the Company from facilities in Dubai in the United Arab Emirates. The Company makes no representations or warranties that the Website is appropriate for use in other locations. Those who access or use the Website from other jurisdictions do so at their own volition and risk and are responsible for compliance with local law
• We may request that you provide proof of ownership and that the Vehicle is located in the UAE or has been cleared by UAE customs. If you do not provide us with proof within 24 hours of request, we may immediately remove the relevant advertisement/content without further notice and no refund will be made
• If these Terms are translated into any other language and there is a discrepancy between the English text and the text of the other language, the English text version will prevail
• Our company is a trademark of our company Ltd or its subsidiaries and may be registered in certain parts of the world

SELLERS REQUIREMENT

• A Seller must:
  1. be at least eighteen (18) years of age, in the case of an individual;
  2. not have any prior or ongoing criminal record and be compliant with all Applicable Laws;
  3. have a valid and operational bank account in the UAE in their name; and
  4. have valid identification or incorporation documents as requested by Our company, in case of an individual or legal entity respectively
• Each Seller warrants and represents that:
  1. it is the legal owner of the Products and is authorized to sell the Products;
  2. the sale of the Products would not be in breach of any applicable law or agreement to which the Seller is a Party; and
  3. The Products are free from any encumbrances
• A Seller must keep confidential any user identification and password details set-up or given to the Seller as part of Our company’s security procedures and must not disclose them to any third party
• Each Seller is solely responsible for any use of or action taken under the Seller’s account and shall fully indemnify Our company and its affiliates, directors, officers, employees, authorized representatives, consultants, professional consultants or authorized agents from any damages or injury suffered by Our company or a Buyer resulting from any unauthorized use of the Seller’s account or any breach of applicable law
• Any correspondence or communication received from a Seller shall be presumed to originate from and have been made with the approval of the Seller and Our company shall be entitled to rely on such correspondence or communication
• Our company may publish on the Website any information supplied or made available to our company by or on behalf of Sellers. Sellers acknowledge and agree that Bid and Drive shall not be regarded as being in breach of any obligation of confidentiality as a result of the publication of such information

Advertisement of Products

• Sellers shall submit a Seller Ad in accordance with the procedures and requirements indicated on the Website
• A Seller Ad must include a photo of the Products and a description of the Products
• Our company will review each Seller Ad and will notify the relevant Seller if the Seller Ad has been accepted
• Our company has the sole discretion to reject a Seller Ad and will notify the Seller if a Seller Ad has been rejected
• Our company may at its sole discretion amend a Seller Ad before the Seller Ad is accepted by us. Our company will notify the Seller of any amendments made to the Seller's Ad
• A Seller Ad will only be posted on the Website once the Product to which the Seller Ad relates has passed a Final Inspection

Pricing

• Our company and the Seller will agree on a price at which the price will be mentioned on our portal.
• Our company will advertise the Product on the Website with a 35% deduction from the price the seller is looking for.
• Our company does not provide any guarantee of the price at which a Product will be sold and does not guarantee that it will be able to find a Buyer for the Product
• Our company shall not be liable for failure to sell a Product or for any loss suffered by the Seller as a result of a Product having been sold at a price below the expected price upon sellers final decision

Loss or damage

• The Seller agrees that Our Company will not be liable for any damage, theft or loss of a Product during its collection, retention and delivery. Our company is not obliged to have any insurance with respect to any Product. The Seller shall remain liable for a Product until title to the Product has transferred from the Seller to the Buyer
• Our company shall have no responsibility for any deterioration or wear and tear of a Product whilst the Product is in the possession of Our company

BUYERS REQUIREMENTS

• All Buyers must be at least eighteen (18) years of age, in case of an individual.
• Buyers warrant and represent that:
  1. they are legally authorized to use the Website and purchase the Products;
  2. their use of the Website and purchase of the Products is not in breach of any applicable law, including without limitation, anti-money laundering laws or any agreement to which the Buyer is a party

Products

• Our company does not guarantee that the Final Inspection will identify all defects in the Product
• Our company does not give any representation or warranty as to the description, specification, quality, price of or the accuracy of any information related to any Product included in a Seller Ad or on the Website

Offer and Price

• The Buyer shall have the option to purchase the Product at the Target Price or make an offer for the Product at below the Target Price during or between the bidding is in progress

Returns and Refunds

• Our company shall not refund any currency conversion or other bank fees paid by the Buyer on the purchase of the Products

Limitation of Liability

• Bid and Drive reserves the right to charge VAT (as may be stipulated under UAE law), including without limitation, with respect to any fees payable by Users from time to time in relation to the Services

Limitations

• As a User of the Website, you must not offer for sale any type of car (“Vehicle”) that is:
  1. Located outside of the UAE
  2. that is not immediately for sale
  3. that is not accurately described by the category in which it is advertised
  4. that you are not the owner of, or in all other cases, which you do not have the rights to sell; or
  5. without true and accurate pricing of the Vehicle displayed within the listing
• Do not violate any laws or any rights or agreements of the parties
• Do not be manipulated with respect to the price of the car or regulations, the obligation not to find a way the conduct of sale
• Do not to be false or incorrect or misleading or that would challenge or discredit any of the parties
• Do not disturb the site visitors to send materials that inconvenience or damage or spy on any of the parties
• Do not send any messages or materials fabricated in the words of ‘’Bid And Drive”
• Do not use the robot, spider, scraper or other automated means to access the robot exclusion headers contained in the site without prior permission for any reason
• Do not use the Service other than for your own personal use or as an agent listing property for sale and to rent
• Do not conduct yourself in an offensive or abusive manner whilst using the Website or the Service
• Do not “stalk” or otherwise harass anyone;
• Do not impersonates any person or entity, including, but not limited to, a Company employee, or falsely states or otherwise misrepresents an affiliation with a person or entity
• Do not copyright or patent, protected by trade secret or trademark, or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission or a license from their rightful owner to post the material and to grant the Company all of the license rights granted herein
• Do not infringes any of the foregoing Intellectual Property Rights of any party, or is User Material that you do not have a right to make available under any law, regulation, contractual or fiduciary relationship(s)
• Do not constitutes or contains “pyramid schemes”, “jokes”, “affiliate marketing,” “link referral code,” “junk mail,” “spam,” “chain letters,” “bait marketing”, “negative option marketing”, “referral selling” or unsolicited advertisements of a commercial nature
• Do not constitutes or contains any form of advertising or solicitation if: (i) posted in areas or categories of the Website which are not designated for such purposes; or (ii) e-mailed to the Company Users who have requested not to be contacted about other services, products or commercial interests; and
• Do not includes links to commercial services or third party websites, except as specifically allowed by the Company
